5 PTE LTD UNI5 Membership Programme Terms & Conditions

 

Effective in August 2021, the membership programme for 5 PTE LTD (the “Company”), is UNI5 (hereinafter, the “UNI5 Membership Programme”). This membership programme is operated by 5 PTE LTD. The Platform and/or site operated by 5 PTE LTD is also known as (“5”).

The membership programme operates under the Terms and Conditions (“T&Cs”) as set out below unless otherwise expressly stated (the “UNI5 Membership Programme T&Cs”). The Membership Programme T&Cs shall apply to employees of 5 PTE LTD and to associates working at 5 PTE LTD owned, leased, licensed and managed locations.

The Membership Programme T&Cs govern the 5 PTE LTD’s relationship with members of the Membership Programme (collectively, “UNI5 Membership Programme Members,” and individually, a “UNI5 Membership Programme Member,” “Member,” or “you”), including how Members manage their accounts, earn and redeem UNI5 Membership Programme points (“Points”) with participating Collaborators as well as with third party programmes which have a business relationship with the UNI5 Membership Programme.

By opening a UNI5 Membership Programme membership account (“Account” or “Membership Account”), or by using either your membership card or the Membership Account number you were assigned (“Membership Number”) to receive and redeem benefits of the Membership Programme, including, without limitation, Membership Programme Points, you agree that:

  • you have read and accept these Programme T&Cs; and you have read and accept 5 PTE LTD Website Terms of Use TERMS OF USE and 5 PTE LTD Terms of Service which are incorporated by reference herein; and
  • you consent to the collection, use, and disclosure of your personal data by 5 PTE LTD, the UNI5 Membership Programme and Eligible Collaborators Programmes, and their authorized third-party agents and licensees in accordance with 5 PTE LTD Privacy Policy

All UNI5 Membership Programme privileges, amenities, offers, awards and services are subject to availability and may be changed by 5 PTE LTD at any time without notice. 5 PTE LTD may terminate the UNI5 Membership Programme, in whole or in part, with six (6) months’ advance notice to all active UNI5 Members and with less than six months’ notice in any jurisdiction if required to do so by applicable law. At 5 PTE LTD’s sole discretion, 5 PTE LTD may choose to substitute a similar Membership programme for the UNI5 Membership Programme at any time immediately upon notice to active UNI5 Membership Members. If the UNI5 Membership Programme is terminated, all unredeemed Points will be forfeited without any obligation or liability, and no Redemption Award claims or promotional Award claims will be honored after the conclusion of the notice period.

UNI5 Membership Members are responsible for remaining knowledgeable of the UNI5 Membership Programme Terms & Conditions and any UNI5 Membership Programme Terms & Conditions Changes. Your continued participation in the UNI5 Membership Programme will constitute your acceptance of any such UNI5 Membership Programme Terms & Conditions Changes.

All UNI5 Membership members agree to fully comply with the Terms & Conditions under “UNI5” membership programme.

1. JOIN THE UNI5 MEMBERSHIP PROGRAMME.

a. Eligibility

Membership in the UNI5 Membership Programme is a paid programme and available to any individual who: (a) possesses the legal authority to agree to the UNI5 Membership Programme Terms & Conditions; (b) resides in a jurisdiction which legally permits participation in the UNI5 Membership Programme; (c) is not a resident of Cuba, Iran, North Korea, Syria, or the Crimea region of Ukraine; (d) provides valid and accurate personal information when enrolling in the UNI5 Membership Programme; (e) is not already a member of the UNI5 Membership Programme (i.e., does not already have a Membership Account); and (f) has not previously been terminated from the UNI5 Membership Programme.

1. Members are responsible for reading and understanding the UNI5 Membership Programme Terms and Conditions, Account statements, and other communications from 5 PTE LTD about the UNI5 Membership Programme in order to understand his/her rights, responsibilities, and status in the UNI5 Membership Programme. If a Member has any questions about the UNI5 Membership Programme, the Member should contact us at email: [email protected]

2. Members are responsible for reading the 5 PTE LTD’s Privacy Policy in order to understand how 5 PTE LTD collects, uses, and discloses a Member’s data. If a Member has any questions about the 5 PTE LTD’s Privacy Policy or its collection, use, or disclosure of a Member’s data, the Member should contact us at email:[email protected]

2. UNI5 WELCOME PACK.

a. New UNI5 Members will receive a Welcome Pack which will be delivered to the Member’s registered residential address. The Terms & Conditions available online at the Site, shall form part of the Welcome Pack and 5 PTE LTD may, at any time, at its sole discretion and without giving any notice, alter or amend the Terms and Conditions.

3. Sign-up Privileges for UNI5 Membership Programme, Membership Fees and Renewal
of Membership.

a. There will be an upfront annual subscription fee of $24 for all new sign-ups, and such Membership fees is non-refundable. 5 PTE LTD may review the Membership Fees from time to time and reserves the right to adjust the Membership Fees where it is deemed necessary. Any adjustments to the Membership fees will be notified to Members before implementation.

b. For subsequent renewal of membership, there will be a chargeable fee of $24, this renewal Membership fee is non-refundable. Renewal fees shall be paid within 30 days of expiry of the last Membership year, and any failure to do so may result in termination of the Membership and forfeit of all
privileges.

Upon the confirmation of acceptance, Members will enjoy the following;

1) A One Time Welcome Pack

2) Earning of Reward Points (Platform and Social Media Activities)

  • – 1 Reward Point = SGD$0.05
  • – Members will earn 1 Reward Points for every $1 spent.
  • – Reward Points earned on each new transaction can be used to offset the next new Products purchases on “5”.

3) Earning of Reward Points (Purchases)

  • – 1 Reward Point = SGD$0.05
  • – Members will earn 1 Reward Points for every $1 spent.
  • – Reward Points earned on each new transaction can be used to offset the next new Products purchases on “5”.

4) Earning of Reward Points during Special Occasions

  • – 1 Reward Point = SGD$0.05
  • – Members will enjoy free 100 Reward Points on their birthdays and for Eligible UNI5 campaigns, contests and purchases (T&Cs to apply).
  • – Members will get to earn an additional 100 Reward Points on their birthdays for every minimum SGD$75 spent on new Products purchases on “5”, the points earned will be used to offset the next new purchase.

5) Special Discounts

  • – 1 Reward Point = SGD$0.05
  • – Members will enjoy free 100 Reward Points on their birthdays and for Eligible UNI5 campaigns, contests and purchases (T&Cs to apply).
  • – Members will get to earn an additional 100 Reward Points on their birthdays for every minimum SGD$75 spent on new Products purchases on “5”, the points earned will be used to offset the next new purchase.
  • – Members will get to enjoy greater discounts on selected products and services from the Platform, as compared to existing prices at retail outlets and on other e-commerce platforms.

6) Complimentary Surprise Treats

  • – Members will be randomly selected to receive a free gift from 5 PTE LTD, in the form of products, services, reward points or e-vouchers.

7) Birthday Month Deals

  • – There will be exclusive discounts offered to members during their birthday month.
  • – Members will be randomly selected to receive a special gift during their birthday month.

4. “5” is a website and/or platform operated by or on behalf of 5 PTE LTD.

5. Benefits of Membership.

a. All UNI5 Membership Programme Terms & Conditions apply.

6. Conditions of Enrollment.

a. Completing the Enrollment Application. An individual may apply to enroll in the UNI5 Membership Programme by fully and accurately completing an application on the 5 PTE LTD website. 5 PTE LTD may deny membership in the UNI5 Membership Programme to any applicant in its sole discretion and without written notice.

b. Individual Membership. Only individuals are eligible for UNI5 Membership
Programme membership, and each individual may maintain only one Membership Account. All UNI5 Member Accounts are individual Accounts and no joint Accounts are permitted. UNI5 Membership Programme benefits are non-transferable unless expressly stated otherwise.

c. Assignment of Membership Account and Membership Number. After applying to the
UNI5 Membership Programme, a Membership Account will be opened and a Membership Number will be assigned to each applicant. Upon receiving this Membership Number, an individual becomes a Member eligible to earn Points under the UNI5 Membership Programme.

d. Duplicate Accounts. An individual may join the UNI5 Membership Programme.
However, a Member may not have one or more duplicate Accounts under the UNI5 Membership Programme at any time.

e. If more than one UNI5 Membership Programme Membership Number is assigned to an individual for the UNI5 Membership Programme, he/she will only receive privileges, benefits and/or entitlements for one Membership Account. Duplicate Membership Accounts may be cancelled.

f. A Member with individual Membership Accounts in the UNI5 Membership Programme will not be able to link these Accounts or transfer Reward Points across Accounts.

g. Personal Profile. Information provided by a Member will be maintained in a personal preference profile with the Membership Account. All information provided by a Member in his/her personal profile must be valid and accurate and must be kept current.

h. A Member may change his/her address by changing his/her information on the Account on the 5 PTE LTD website or contact us at email:

. In certain instances, address changes may require supporting legal documentation.

h (1). Name changes to a Membership Account must include supporting legal documentation, signature, date and Membership Number.

h (2). Credit card information included in a Member’s profile will be used by 5 PTELTD to guarantee the Member’s purchases and for future transactions.

7. Use of Information Collected in Application.

The information a Member provides to the 5 PTE LTD when completing the UNI5 Membership Programme application and redeeming Points is processed in accordance with the 5 PTE LTD’s Privacy Policy, Terms of Use and Terms of Service. Communication of relevant information is important to administering the UNI5 Membership Programme and providing each Member with the opportunity to maximize the benefits of Membership. The UNI5 Membership Programme will only disclose Member information to: 5 PTE LTD, person(s) authorized by the Member; email service providers and mail houses that process mail for such entities; Authorized Licensees (as defined in 5 PTE LTD’s Privacy Policy and Terms of Service); and marketing companies that provide services to the 5 PTE LTD. Member information will, in each case, only be disclosed for one or more of the following purposes: a) in order to better service the Membership Account and the Member’s preferences by keeping the Member informed of Account status and activities through printed or electronic statements; b) to assess a Member’s entitlement to benefits; c) to collect and process Member charges incurred from using the 5 PTE LTD’s services, d) to offer a Member additional products and services; e) to send periodic satisfaction or market research surveys; and/or f) to offer a Member products or services from selected reputable companies with whom the UNI5 Membership Programme has a strategic relationship because the UNI5 Membership Programme believe their offerings will be of interest to the Member. In choosing to become a UNI5 Membership Programme Member, the
Member consents to receive all the types of information described above, but the Member will be given the opportunity to define and modify mailing and other communication preferences.

8. Membership Communications.

a. New Members will receive 5 PTE LTD UNI5 Membership Programme communications.

b. All UNI5 Membership Programme communications will be sent to a Member’s mailing address or email address currently provided in the Member’s Account. Communications delivered to the address on file will be deemed to have been received one (1) business day after sending it if delivered to the Member’s email address or five (5) business days after sending it if delivered to the mailing address provided. Members must keep their email and mailing addresses current. Neither 5 PTE LTD nor the UNI5 Membership Programme shall have any responsibility for misdirected or lost mail or any consequences thereof.

c. Members will receive regular Points balance reports by email, provided there has been a transaction on the Account since the last Points balance report and the Member provided 5 PTE LTD with the appropriate permission to contact the Member via email.

d. 5 PTE LTD may also send Members promotions, offers and other communications from time to time, which may include, without limitation, items from Collaborators or third parties. The items from Collaborators or third parties are based on the information provided to 5 PTE LTD by a Member and any additional data 5 PTE LTD may maintain. Members may change personal details and communications preferences at any time in the Account Profile on 5 PTE LTD website or by contacting us at email: [email protected]. However, 5 PTELTD may require a Member to send supporting documentation prior to allowing certain changes (e.g., legal name changes).

e. Any time a Member contacts us at email: , 5 PTE LTD may
ask the Member certain security questions to verify the Member’s identity. 5 PTE LTD may monitor or record telephone calls to improve quality of service.

f. A Member can review his/her Points balance and transaction history and update
personal details and preferences in the Account Profile on 5 PTE LTD website. A Membership Number or his/her user name and password are required to access the website.

9. Earning Rewards.

Members may earn Reward Points (the currency of the UNI5 Membership Programme), through UNI5 activities or Eligible programmes tied up with Collaborators.

a. Reward Points are Subject to UNI5 Membership Programme Terms & Conditions. As set forth in the Terms & Conditions, the accumulation of Reward Points is subject to the UNI5 Membership Programme Terms & Conditions. Each UNI5 Membership Programme Member is responsible for reading the terms and conditions, newsletters, and Account statements in order to understand his or her rights, responsibilities, and status in the UNI5 Membership Programme.

b. Taxes. Reward Points earned through participating in the UNI5 Membership Programme may be subject to tax liability. Any tax liability, including disclosure, connected with the receipt or use of Reward Points is the sole responsibility of the Member.

c. Conditions for Reward Points. Accrued Reward Points do not constitute property of the Member. Points accrued by a UNI5 Membership Programme Member are for the Member’s benefit only and may not be transferred to anyone.

d. Members are prohibited from bartering or selling Points for cash or other considerations.

e. Any Reward Points which the UNI5 Membership Programme deems in its sole discretion to have been in violation of the UNI5 Membership Programme Terms & Conditions may be confiscated.

10. Points Expiration Policy.

Members must remain active in the UNI5 Membership Programme to retain Points they accumulate. If a Member Account is inactive for twenty-four (24) consecutive months, that Member Account will forfeit all accumulated Points. Members can remain active in the UNI5 Membership Programme and retain
accumulated Points by earning Reward Points in the UNI5 Membership Programme or redeeming Points in the UNI5 Membership Programme at least once every eighteen (18) months.

11. Other Offers and Invitations.

a. UNI5 Membership programme may entitle you to various offers (“Offers”) and invitations (“Invitations) in addition to Rewards. The details of these Offers or Invitations will be communicated by email, SMS or by phone, depending on the communication channels selected by the Member. Details and terms of any Offers or Invitations will be defined in the Terms & Conditions of the Offer or Invitation.

b. 5 PTE LTD may extend Offers and Invitations from time to time provided by Collaborators or third-party merchants (“the merchants”). There shall be no refund or exchange, in any form whatsoever of the value of the goods and/or services offered by the Collaborators or the merchants. All Offers and Invitations are subject to availability.

c. All Offers/Invitations must be accepted as given and collected/redeemed in the country where the Membership Account or Membership Card is issued. Members must agree to abide by the stated rules and regulations governing acceptance of the Offers or Invitations prior to accepting the Offers or Invitations.

d. If the Collaborators or the merchant is, for any reason, unable to fulfil the privileges or benefits stated in the Offers or Invitations, the Collaborators or the merchant may in its sole discretion provide alternative privileges or benefits of similar quality and value or withdraw the said privileges and benefits. 5 PTE LTD may also, in its sole discretion, at any time and from time to time without prior notice, change the Offers or Invitations featured or substitute one with another of similar value and to withdraw or change the privileges and benefits under the UNI5 Membership programme.

e. Each Member acknowledge that any transactions with any Collaborators or the merchant shall be strictly between the said Collaborators or the merchant and Member only and each Member agrees that 5 PTE LTD shall in no way whatsoever be held responsible for any loss, cost, damage or expense suffered by the Member in respect of: Any failure, act and/or omission, or default on the part of any Collaborators or the merchant to provide any rewards, products and/or services, privileges and benefits whatsoever under the UNI5 Membership programme; any or all forms of the products or services provided under UNI5 Membership programme supplied by the Collaborators or the merchant or third party operators, service provider or suppliers, if any, engaged by 5 PTE LTD as participants under the UNI5 Membership programme to provide such rewards.

12. Limitation of Liability.

a. To the fullest extent permitted by applicable laws, 5 PTE LTD will not be held liable for any damages of any kind arising out of or in connection with your participation in the UNI5 Membership programme or Membership, whether under contract or tort or otherwise, including damages arising out of changes to or termination of the Programme or as a result of you redeeming and/or using a Reward or arising from your access to or use of or the inability to use the Programme or its contents. This applies to all damages of any kind, including but not limited to direct, indirect, incidental, punitive or consequential damages, costs, loss of data, income or profit, inability to use or access the Programme, loss of opportunity, loss of or damage to property and claims of third parties.

b. To the maximum extent permitted by law, the limitations on 5 PTE LTD’s liability set forth herein shall apply whether for breach or repudiation of contract, or whether in tort, civil liability by way of negligence, gross negligence, strict liability, or otherwise, even if advised of the possibility of such damage. By agreeing to the Terms & Conditions, you willingly agree (or, if you are a minor, your parent or legal guardian willingly agrees) that you have relinquished your right to seek these damages from 5 PTE LTD and that this is a reasonable allocation of risk. Certain legislation, including the Sale of Goods Act and Consumer Protection (Fair Trading) Act and Unfair Contract Terms Act may impose consumer guarantees or imply warranties or conditions or impose obligations upon 5 PTE LTD which cannot be excluded, restricted or modified or cannot be excluded, restricted or modified except to a limited extent. The Terms of Service and/or the Terms & Conditions hereunder must be read subject to these statutory provisions.

c. Failure by 5 PTE LTD to enforce any of the Terms of Service and Terms & Conditions shall not constitute a waiver of that provision. 5 PTE LTD makes no guarantees, warranties, or representations of any kind concerning the Programme.

d. Some jurisdictions do not allow some of the above limitations of liability so such limitations do not apply to you.

13. Ownership of Intellectual Property Rights

The Intellectual property rights ownership (consisting, without limitation, copyrights, trademarks, patents, design rights and all aspects of intellectual property rights existing in the world) of all Programme contents and all software used in relations with the Programme is the property of and are owned by 5 PTE LTD. Nothing in the Terms constitutes a transfer or a grant of a license or a right to the use of any intellectual property rights. Unless otherwise indicated on a particular part of the Programme materials, permission is granted to electronically copy and to print in hard copy portions of the Programme
materials for the sole purpose of accessing the Programme and the services provided therein for personal use. Any other use of Programme materials – including reproduction, modification, distribution, republishing, transmission, display or performance – without the prior written permission of 5 PTE LTD is strictly prohibited.

14. Other Conditions of Enrollment.

a. Cancelling or Suspending Membership Accounts

b. Cancelling by Member. A Member may cancel his/her membership in the UNI5 Membership Programme at any time by sending a written notice of cancellation to our email at: All unredeemed Reward Points will be forfeited immediately and may not be reinstated or transferred.

b (1). Cancelling or Suspending by 5 PTE LTD. 5 PTE LTD may cancel a Member’s accumulated Points or suspend UNI5 Membership Programme benefits or cancel a Member’s Account at any time with immediate effect and without written notice, for any reason and in 5 PTE LTD’s sole discretion including, without limitation, if 5 PTE LTD believe the Member has:

A. Acted in a manner inconsistent with applicable laws, regulations, ordinances;

B. Failed to pay any bill when due to the 5 PTE LTD;

C. Acted in an inappropriate, fraudulent, abusive or hostile manner;

D. Breached or violated any of these UNI5 Membership Programme Terms & Conditions or 5 PTE LTD’s Terms of Service or Terms of Use;

E. Fraudulently claimed eligibility to earn benefits through UNI5 Membership Programme Events; or

F. Engaged in any misconduct or wrongdoing in connection with the UNI5 Membership Programme including, without limitation, with respect to Reward Points, or any other UNI5 Membership Programme Member benefits.

b(2). Bankruptcy. Subject to applicable law, a Member’s membership in the UNI5 Membership Programme will terminate automatically upon the Member filing for bankruptcy or otherwise being subject to a bankruptcy proceeding.

b(3). Legal Action. Nothing contained in these Programme Terms & Conditions will limit 5 PTE LTD in the exercise of any legal or equitable rights or remedies.

15. Effect of Membership Cancellation.

a. The UNI5 Membership Programme, Reward Points and other related benefits and services are the sole property of 5 PTE LTD, and are not the property of Members. On cancellation of membership in the UNI5 Membership Programme for any reason, all unredeemed Reward Points and related benefits will be
forfeited and a Member will no longer be able to participate in the UNI5 Membership Programme. 5 PTE LTD will not compensate or pay cash for any forfeited or unused Points.

b. If 5 PTE LTD cancels a Member’s Account for any reason, the Member may not reapply for membership in the UNI5 Membership Programme except in very limited circumstances at 5 PTE LTD’s sole discretion, and any Account opened in the Member’s name and Points and related benefits earned in that Account will be forfeited upon discovery.

c. If a Member cancels his/her Account, or if a Member Account becomes inactive as described in the Terms & Conditions, the Member may reapply for membership in the UNI5 Membership Programme at a later date, but no Points and related benefits previously forfeited or expired will be reinstated to the Member Account.

16. Modification of Programme.

Except as otherwise expressly prohibited or limited by applicable laws, 5 PTE LTD has the right to change, limit, modify or cancel the UNI5 Membership Programme Terms & Conditions, with or without notice, even though such changes may affect the value of Points or related benefits. Collaborators
programmes similarly reserve the right to modify their own programmes, which may impact your rights and expected benefits under the UNI5 Membership Programme. 5 PTE LTD and Collaborators programmes may, among other things: (1) increase or decrease the number of Points received for a product or services; (2) withdraw, limit, modify or cancel any products or services; (3) add blackout dates for any products and services or otherwise restrict the
continued availability of a product or services; (4) change programme benefits, Collaborators, locations served by 5 PTE LTD or its Collaborators, conditions of participation, rules for earning, redeeming, retaining or forfeiting Points or related benefits, or rules governing the use of Points or related benefits; (5) change or cancel its Collaborators product or services. In accumulating Points or related benefits, Members may not rely upon the continued availability of any products or services level and category.

17. Termination of Programme.

5 PTE LTD may terminate the UNI5 Membership Programme with six (6) months’ advance notice to all active UNI5 Membership Members. At the 5 PTE LTD’s sole discretion, 5 PTE LTD may choose to substitute a similar Membership programme for the UNI5 Membership Programme at any time immediately upon notice to active UNI5 Membership Members. A Member may not accumulate Points or claim related UNI5 Membership Programme
benefits after the termination of the UNI5 Membership Programme. If the UNI5 Membership Programme is terminated, all unredeemed Points will be forfeited without any obligation or liability, and no related benefits will be honored after the conclusion of the notice period. 5 PTE LTD may terminate any of the UNI5 Membership Programme in whole or in part, in any jurisdiction on less than six months’ notice if required to do so by applicable law.

18. Benefits Subject to Availability and Modification.

All UNI5 Membership Programme benefits, amenities, offers, awards and services are subject to availability and may be changed at any time without notice.

19. Eligibility to Receive Benefits.

By accepting any UNI5 Membership Programme benefits, amenities, offers, awards or services, including, without limitation, any Points or related benefits, a Member acknowledge that he/she is responsible for determining whether he/she is eligible to receive, such UNI5 Membership Programme benefits,
amenities, offers, awards or services (including, without limitation, Points, Redemption Awards and promotional Awards) under applicable laws, gift policies and incentive policies. Each Member must immediately notify 5 PTE LTD if he/she is not eligible to receive any UNI5 Membership Programme benefits, amenities, offers, awards or services at any time.

20. Eligibility Notification.

A Member must promptly notify 5 PTE LTD in the event that (1) he/she is not eligible for any reason, including, without limitation, pursuant to any applicable laws, gift policies or incentive policies, to earn Points or any other benefits that a Member may earn under the UNI5 Membership Programme, or
(2) his/her Member Account has been credited with any Points or any other benefit that a Member may earn under the UNI5 Membership Programme that he/she has not earned or is not eligible to earn.

21. No Sale or Transfer.

Points and other Member benefits may not be sold, bartered or transferred. Any attempted transfer, sale or barter will be void and will be confiscated. 5 PTE LTD or its Collaborators may refuse to honour or recognize any Points or Member benefits which 5 PTE LTD believe may have been transferred, sold or bartered.

22. Governing Law and Jurisdiction.

These terms and conditions and any non-contractual obligations arising out of or in connection with these terms and conditions, shall be governed by, and construed in accordance with, the laws of Singapore. The Courts of Singapore shall have exclusive jurisdiction in relation to any claim, dispute or
difference concerning these terms and conditions and any matter arising therefrom. Henceforth, the parties knowingly, voluntarily and intentionally waive to the fullest extent permitted by law any rights they may have to commence proceedings in any other forum, court or tribunal for such claims, disputes or differences concerning these terms and conditions.

a. Legal Dispute. In the event any legal disputes arise, the decision of 5 PTE LTD will remain conclusive.
